By accessing or using the V-Rise mobile application and related services (collectively, the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Service.

These Terms constitute a legally binding agreement between you and V-Rise ("we," "us," or "our"). Please read them carefully.

2. Description of Service

V-Rise is a video management application designed for sports families that provides:

• Video backup to YouTube through Google OAuth integration
• Video organization with custom tags and metadata
• AI-powered video analysis for sports technique feedback
• Automated highlight generation
• Storage management tools

The Service requires a Google account for authentication and YouTube access. Features may vary based on subscription tier.

3. Account Registration

3.1 Account Requirements

To use V-Rise, you must:

• Be at least 13 years of age (or the minimum age in your jurisdiction)
• Have a valid Google account
• Provide accurate and complete information
• Maintain the security of your account credentials

3.2 Account Responsibility

You are responsible for all activity that occurs under your account. You must immediately notify us of any unauthorized use of your account or any other breach of security.

4. User Content

4.1 Ownership

You retain all ownership rights to the videos and content you upload through V-Rise. We do not claim ownership of your content.

4.2 License Grant

By using the Service, you grant V-Rise a limited, non-exclusive license to:

• Process your videos for upload to YouTube
• Analyze video frames for AI-powered features
• Store metadata and tags associated with your videos
• Create derivative works (thumbnails, highlights) as directed by you

4.3 Content Restrictions

You agree not to upload or transmit content that:

• Violates any applicable law or regulation
• Infringes on intellectual property rights of others
• Contains sexually explicit material involving minors
• Promotes violence, harassment, or discrimination
• Contains malware or harmful code
• Violates YouTube's Terms of Service or Community Guidelines

4.4 YouTube Terms

Videos uploaded through V-Rise are subject to YouTube's Terms of Service. You are responsible for ensuring your content complies with YouTube's policies.

5. Subscriptions and Payments

5.1 Free and Paid Tiers

V-Rise offers both free and premium subscription options. Free tier users may have limited access to certain features and are subject to upload limits.

5.2 Premium Subscriptions

Premium subscriptions are processed through Apple App Store or Google Play Store. By purchasing a subscription:

• You agree to the payment terms of the respective app store
• Subscriptions automatically renew unless cancelled
• You can manage or cancel subscriptions through your device settings

5.3 Points System

AI analysis features use a points-based system. Points may be earned through bonuses or purchased through in-app purchases. Points are non-refundable and have no cash value.

5.4 Refunds

Refund requests for subscriptions and in-app purchases are handled by Apple or Google according to their respective refund policies.

6. Acceptable Use

You agree not to:

• Use the Service for any illegal purpose
• Attempt to gain unauthorized access to any part of the Service
• Interfere with or disrupt the Service or servers
• Use automated means to access the Service without permission
• Circumvent any usage limits or restrictions
• Resell or redistribute the Service without authorization
• Use the Service to spam or send unsolicited communications
• Impersonate any person or entity

7. Third-Party Services

7.1 Google/YouTube Integration

V-Rise uses YouTube API Services. By using our Service, you also agree to be bound by YouTube's Terms of Service.

You can revoke V-Rise's access to your Google account at any time via Google's security settings.

7.2 AI Services

AI analysis features are provided through third-party services and are subject to their availability and terms. We do not guarantee the accuracy of AI-generated analysis.

7.3 Links to Third-Party Sites

The Service may contain links to third-party websites or services. We are not responsible for the content or practices of these third parties.

8. Intellectual Property

8.1 Our Property

The V-Rise application, including its design, features, code, and branding, is owned by us and protected by intellectual property laws. You may not copy, modify, distribute, or reverse engineer any part of our Service without permission.

8.2 Feedback

If you provide feedback, suggestions, or ideas about the Service, you grant us a perpetual, royalty-free license to use such feedback without compensation or attribution to you.

9. Disclaimers

9.1 "As Is" Basis

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

9.2 No Guarantee

We do not guarantee that:

• The Service will be uninterrupted or error-free
• Videos will be successfully uploaded to YouTube
• AI analysis will be accurate or complete
• Your data will never be lost or corrupted

9.3 YouTube API Limitations

Uploads are subject to YouTube's API quotas and limitations. We are not responsible for delays or failures caused by YouTube's systems.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, V-RISE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:

• Loss of data or content
• Loss of revenue or profits
• Business interruption
• Cost of replacement services

OUR TOTAL LIABILITY FOR ALL CLAIMS RELATED TO THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

11. Indemnification

You agree to indemnify, defend, and hold harmless V-Rise and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from:

• Your use of the Service
• Your content or videos
• Your violation of these Terms
• Your violation of any third-party rights

12. Termination

12.1 By You

You may stop using the Service at any time. To delete your account, contact us at support@xviewapp.com.

12.2 By Us

We may suspend or terminate your access to the Service at any time, with or without cause, including for:

• Violation of these Terms
• Conduct that harms other users or the Service
• Prolonged inactivity
• Legal or regulatory requirements

12.3 Effect of Termination

Upon termination, your right to use the Service will cease immediately. Videos already uploaded to YouTube will remain in your YouTube account.

13. Dispute Resolution

13.1 Informal Resolution

Before filing any claim, you agree to attempt to resolve disputes informally by contacting us at support@xviewapp.com.

13.2 Governing Law

These Terms are governed by the laws of the Commonwealth of Virginia, United States, without regard to conflict of law principles.

13.3 Jurisdiction

Any disputes shall be resolved exclusively in the state or federal courts located in Fairfax County, Virginia.

14. Changes to Terms

We may modify these Terms at any time. We will notify you of material changes by posting the updated Terms in the app and updating the "Last updated" date. Your continued use of the Service after changes constitutes acceptance of the modified Terms.

15. General Provisions

• Entire Agreement: These Terms constitute the entire agreement between you and V-Rise regarding the Service.
• Severability: If any provision is found unenforceable, the remaining provisions will remain in effect.
• Waiver: Failure to enforce any right or provision does not constitute a waiver.
• Assignment: You may not assign these Terms. We may assign our rights without restriction.
